1. Introduction

Welcome to Maculogic. These Terms of Service ("Terms") govern your use of the Maculogic desktop application ("Software") and related services provided by Cureonics LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company.

By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Software.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the Software on the number of devices specified by your license tier
Use the Software for your internal business purposes related to ophthalmology and retina practice management
Access updates and new versions during your active subscription period

3. License Restrictions

You may not:

Copy, modify, or distribute the Software except as expressly permitted
Reverse engineer, decompile, or disassemble the Software
Rent, lease, lend, sell, or sublicense the Software
Remove or alter any proprietary notices, labels, or marks on the Software
Use the Software to develop a competing product
Circumvent, disable, or otherwise interfere with license verification mechanisms
Share your license key with unauthorized users

4. Trial Period

We offer a 30-day free trial of the Software. During the trial period, you have full access to all features. After the trial expires, the Software will operate in read-only mode until you purchase a license. You may request a one-time 7-day trial extension by contacting support.

5. Subscription and Payment

Paid licenses are offered on an annual subscription basis. By purchasing a subscription, you agree to pay the applicable fees. All fees are non-refundable except as required by law or as expressly stated in our refund policy.

Subscriptions automatically renew unless cancelled at least 30 days before the renewal date. We may change subscription prices with 60 days' notice before your next renewal.

6. Data Ownership and Privacy

Your Data Stays Yours. The Software stores all patient data locally on your device. We do not collect, transmit, or have access to your patient data. You are solely responsible for:

Backing up your data regularly
Maintaining the security of the device on which the Software is installed
Complying with applicable healthcare data protection laws (HIPAA, KVKK, GDPR, etc.)

7. Healthcare Disclaimer

The Software is a practice management and record-keeping tool. It is not intended to replace professional medical judgment, provide medical advice, diagnose conditions, or recommend treatments. Clinical decisions remain solely the responsibility of the licensed healthcare provider.

8. Intellectual Property

The Software, including its code, design, features, documentation, and all related intellectual property, is owned by Cureonics LLC. These Terms do not grant you any ownership rights. All rights not expressly granted are reserved.

9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUREONICS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cureonics LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Software or violation of these Terms.

12. Termination

We may terminate or suspend your license immediately if you violate these Terms. Upon termination, you must cease all use of the Software and delete all copies. Your right to access your existing data in read-only mode will continue for 90 days after termination to allow for data export.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English in Wyoming.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Software. Your continued use of the Software after changes become effective constitutes acceptance of the updated Terms.
